SPECIAL ANNOUNCEMENT

ADI to Combine with

Maxim Integrated

   LOGO

Dear Colleagues,

I’m delighted to tell you that today we announced an agreement for Maxim Integrated to merge with ADI. This represents an exciting next step in our growth journey and one that will further strengthen our leadership as a high-performance analog semiconductor company.

As a premier power and signal processing franchise, Maxim is a highly respected company with a storied history. Our companies share a culture of engineering excellence and passion for customer success. I have no doubt that we can jointly unleash a new wave of disruptive innovation.

By coming together, we will enhance our breadth of engineering capabilities, depth of domain expertise and diversity of offerings. Our portfolios are highly complementary and together we will unite our best-in class technologies, from DC to gigahertz, nanowatts to kilowatts and sensor to cloud. We will be well positioned to deliver more complete solutions for our customers and continue to capitalize on secular growth trends across Industry 4.0, Digital Healthcare, Data Centers, 5G Communications, and advanced vehicle systems – which, in total, represent a $60 billion total addressable market opportunity for ADI.

Importantly, we are also fortifying our position as the destination for the world’s best hardware talent. As our customers deal with increasing complexity and shortening innovation cycles, we will have a more expansive canvas on which to draw our future, creating new growth opportunities for our employees. And with a combined $1.5 billion investment in research and development, we will be well funded to address our customers’ increasingly complex challenges and accelerate the long-term profitable growth of ADI.

Tomorrow, I will be hosting two virtual town halls: one at 11am EST and the second at 8pm EST, to discuss this unique and powerful combination. Please check the Circuit for more information.

In the meantime, it is important to remember that we do not expect this deal to close before the summer of 2021. Therefore, both companies will operate independently and as such we must all remain focused on continuing to serve and satisfy our customers, while executing to our goals across the company.

I look forward to speaking with you all soon.
